Resolute Mining Limited and Nimba Mining Gold S.A., a affiliate of the Guinean state-owned mining group Nimba Mining Company S.A. jointly signed the articles of association of Landaya Gold SAS (“Landaya” which means “trust” in one of the local language), their joint venture which will take forward the development of gold projects in the Republic of Guinea.

The articles of association were signed by Mr Patrice L’HUILLIER, representative ofNimba Mining Gold S.A., and by Mr Karl AKUESON, Vice President Growth, for Resolute Mining Limited. Incorporation of the company is being finalised with the relevant authorities.

The signing gives effect to the strategic memorandum of understanding (the “MoU”) entered into between the two companies on 31 March 2026.Landaya will be responsible for assessing, exploring and, where appropriate, developingthe gold-bearing areas identified in Guinea, building on the preliminary assessmentcarried out by the technical teams of both companies. The company forms part of NMC’s strategy to diversify beyond the bauxite sector, supported by the Government of Guinea and in line with the Simandou 2040 Vision and Programme, as well as Resolute’s growth strategy in West Africa’s established gold jurisdictions.

Landaya is owned 50% by Resolute Mining and 50% by NMG, and its registered office is in Conakry.

Mr Patrice L’Huillier, Managing Director of NMC, said:“With Landaya Gold, we are moving from intention to action.
